Mergers and Acquisitions / Joint Ventures

Massimiliano advised an Italian company in the acquisition of the 51% equity interest of a jewellery company from an Italian group of the fashion industry (listed in the Milan Stock Exchange).

Massimiliano acted as general legal counsel on behalf of an Italian Group in the implementation, negotiation and execution of a call option on its Chinese joint venture.

Massimiliano advised one of the Italian's largest Group of the jewellery industry on the acquisition of the majority shareholding of a Romanian Company operating a retail jewelry store chain in Romania.

Massimiliano advised one of the Italian's largest Group of the jewellery industry on the establishment of a 51/49 joint venture with a Chinese Group relating to the localization of the production and the development, promotion and operation of a retail jewelry store chain in the PRC, through the exploitation of the intellectual property rights licensed by the Italian Group to the JV Co.

The firm advised a leading Italian Group of the jewellery industry on the acquisition of the majority shareholding of an Italian manufacturer of watches. The firm also advised on the acquisition of the connected intellectual property rights.

EU and Competition

Massimiliano advised one of the World's largest staffing group on its preliminary assessment of EU Member States' laws, regulations and administrative provisions adopted to implement the Directive 96/71/EC - concerning the posting of workers in the framework of the transnational provision of services - infringing both the Directive 96/71/EC itself and Article 49 of the EC Treaty on the freedom to provide cross border services within the Internal Market.

Corporate and Commercial Law

The firm represented as general legal counsel one of the World's largest staffing Group in connection with the establishment and administration of its corporate entity in Italy. The firm is also advising the Group as general legal counsel on its corporate, commercial, and day-to-day legal needs in Italy.

Negotiations and drafting of an exclusive distribution agreement on behalf of a leading company in the Ultrasound and MRI Industry with a US Corporation, listed at NASDAQ.

Insurance

Massimiliano is regularly advising as general legal counsel a New York-based insurer, listed at NASDAQ, in connection with its commercial, and day-to-day legal needs in Italy, including regulatory and compliance.

Massimiliano is regularly advising as general legal counsel a London-based insurer, listed on the London Stock Exchange, in connection with risks underwritten in Italy.

Massimiliano is also advising, as general legal counsel, a number of UK Underwriters covering a broad specie account in connection with major complex insurance claims with a particular experience on precious metals, vault risks, banks and fine arts.

Intellectual Property

Massimiliano represented the Italian's largest manufacturer of measuring equipments in a proceedings to restrain the breach of its International trademark.

Massimiliano represented an Italian Group of the fashion jewellery industry in several proceedings to restrain multijurisdictional infringements (United States of America, People's Republic of China, United Arab Emirates, Portugal, and Italy) of their registered designs and patent rights. The firm also advised collateral negotiations and settlements.

Negotiations and settlement on behalf of a leading company in the Ultrasound and MRI industry with a multinational Dutch corporation and drafting the patent license agreement thereto.
